FAQ
Investor FAQ
The questions every investor asks, answered plainly, plus what is available under NDA.
What is the instrument, and what are its terms?
Priced equity at US$500,000 pre-money and US$600,000 post-money. It is not a SAFE: there is no valuation cap, no discount and no most-favoured-nation clause, because the price is set rather than deferred. Minimum ticket US$10,000. Every ticket is ordinary equity on identical terms; the tiers on the ask page differ in rights, not in price.
Why this amount?
US$100,000 is 12 months of runway at about US$8,333 a month for a property that is already built, already published and already priced. It is not a growth round and it is not sized to hire a team. It is sized to do one thing: make what is published buyable, and sell it deliberately for a year. Asking for more would mean spending it on things the plan does not need yet.
What does my ticket dilute to?
At US$600,000 post-money, US$10,000 buys 1.7% and the full round buys 16.7%. The complete table is on the ask page. That table is the only cap-table figure published anywhere in this kit; existing holdings and the full cap table are available under NDA.
What is available under NDA, and how do I get it?
Under signed NDA: the cap table, the founder agreement, repository access, the financial model, the services pipeline and any engagement artefacts, the infrastructure and cost breakdown, IP assignment confirmation, and the executed subscription-agreement template. Write to invest@airtistic.ai; materials are sent within 48 hours of NDA signature.
How does this round relate to CEMI.ai?
CEMI is open to investment at two levels. At group level, backing the shared platform — the Personai engine, CEMI Factory and CEMI Solutions — whose effect compounds across the whole portfolio. At initiative level, backing a specific sector business approaching commercialization, with its own market, its own customers and its own economics. This round is the second kind, and the two are complementary rather than alternatives.
What are the exit paths?
Realistically: acquisition by a creative-tools, education or arts-media company for whom the catalogue, the languages and the audience are cheaper to buy than to build; a secondary sale to CEMI.ai or to a later-round investor; or the company becoming cash-generative and distributing. We do not model a public listing, and we will not pretend one is the plan.
What happens if the round does not close?
Below the minimum viable close of US$50,000 we do not draw the round, and no investor money is held against it. The publication stays online — it is operated on the group's shared platform and that does not depend on this round — and the paid tiers ship more slowly, funded from services revenue as it arrives. The plan gets longer, not cancelled.
